Terms of Service

These Terms of Service (“Terms”) govern all access to and use of the Spectacl website available at https://spectacl.org (the “Website”) and all related products, features, tools, dashboards, APIs, analyses, reports, and services provided by Spectacl (collectively, the “Services”).

The Services are operated by Spectacl (“Spectacl”, “we”, “us”, or “our”). The Services are offered subject to your acceptance, without modification, of all terms and conditions contained herein, as well as any other policies or notices published by Spectacl from time to time, including our Privacy Policy (collectively, the “Agreement”).

Please read this Agreement carefully before accessing or using the Services. By accessing or using any part of the Services, you agree to be bound by this Agreement. If you do not agree to all the terms and conditions of this Agreement, you may not access or use the Services.

The Services are available only to individuals who are at least 16 years old.

Violation of any of these Terms may result in suspension or termination of your account. You agree to use the Services at your own risk.

1. Your Spectacl Account

To access certain features of the Services, you may be required to create an account. You are responsible for maintaining the security of your account and credentials and for all activities that occur under your account.

You agree that:

  • You will provide accurate, current, and complete information during registration.
  • You will keep your account information up to date.
  • Your account is for use by a single individual unless explicitly permitted otherwise.
  • You will immediately notify Spectacl of any unauthorized use of your account or any other breach of security.

Accounts registered using automated methods or bots are not permitted.

Spectacl is not liable for any loss or damage arising from your failure to safeguard your account credentials.

2. Description of the Services

Spectacl provides software tools that allow users to:

  • Create, manage, and schedule prompts;
  • Systematically send those prompts to third-party large language models (“LLMs”);
  • Collect, analyze, compare, and visualize responses generated by those LLMs;
  • Generate insights such as visibility, mention rates, sentiment, positioning, and other analytical outputs.

Spectacl does not create, control, or guarantee the content generated by third-party LLMs. All LLM responses are generated and governed by the respective third-party providers.

3. Responsibility of Users

3.1 User-Provided Inputs

You are solely responsible for all prompts, queries, datasets, configurations, and other materials you submit to the Services (“User Inputs”).

You represent and warrant that:

  • You have all necessary rights and permissions to submit your User Inputs;
  • Your User Inputs do not violate any applicable law or regulation;
  • Your User Inputs do not infringe the intellectual property, privacy, or other rights of any third party.

3.2 License to Operate the Services

By submitting User Inputs, you grant Spectacl a limited, non-exclusive, worldwide, royalty-free license to process, transmit, store, analyze, and display such User Inputs and resulting outputs solely for the purpose of providing and improving the Services.

Spectacl does not claim ownership over your User Inputs.

3.3 Prohibited Uses

You agree not to, and not to permit others to:

  • Use the Services for unlawful, harmful, or fraudulent purposes;
  • Submit prompts or inputs that are misleading, abusive, defamatory, or discriminatory;
  • Attempt to reverse engineer, scrape, or extract source code, models, or proprietary logic from the Services;
  • Circumvent usage limits, rate limits, or access controls;
  • Interfere with or disrupt the integrity or performance of the Services;
  • Use the Services to train or improve competing products without Spectacl’s prior written consent;
  • Use the Services in a manner that violates the terms of any third-party LLM provider;
  • Impersonate any person or entity or misrepresent your affiliation.

Spectacl reserves the right to determine, at its sole discretion, whether a use violates these Terms.

4. Third-Party Services and LLM Providers

The Services rely on and integrate with third-party LLM providers and other external services (“Third-Party Services”). Spectacl does not control and is not responsible for:

  • The availability, accuracy, or reliability of Third-Party Services;
  • The content generated by LLMs;
  • Changes to APIs, pricing, rate limits, or policies of Third-Party Services.

Your use of Third-Party Services is subject to their respective terms and policies. Spectacl is not liable for any loss or damage arising from your use of Third-Party Services.

5. Payments, Subscriptions, and Billing

5.1 Paid Plans

Certain features of the Services may require payment of fees on a subscription basis. Fees, billing cycles, and plan details are displayed on the Website at the time of purchase.

All fees are charged in advance and are non-refundable unless expressly stated otherwise.

5.2 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless canceled before renewal. You authorize Spectacl to charge the applicable subscription fees using your selected payment method.

5.3 Cancellation

You may cancel your subscription at any time through your account dashboard. Cancellation will take effect at the end of the current billing period.

6. Data, Analytics, and Outputs

Analytical results, reports, scores, and visualizations generated by the Services are provided for informational and comparative purposes only. Spectacl does not guarantee their completeness, accuracy, or fitness for any particular purpose.

You acknowledge that outputs may vary over time due to changes in LLM behavior, data sources, or methodologies.

7. Intellectual Property

All intellectual property rights in and to the Services, including software, algorithms, methodologies, interfaces, designs, and branding, are owned by or licensed to Spectacl.

Nothing in this Agreement grants you any ownership rights in the Services or Spectacl intellectual property.

8. Termination

Spectacl may suspend or terminate your access to the Services at any time, with or without notice, if you violate this Agreement or if Spectacl reasonably believes that your use poses a risk to the Services or other users.

You may stop using the Services at any time.

Sections that by their nature should survive termination shall survive, including intellectual property, disclaimers, limitations of liability, and indemnification.

9. Disclaimers

The Services are provided “as is” and “as available”. Spectacl disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Spectacl does not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

10. Limitation of Liability

To the maximum extent permitted by law, Spectacl shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

Spectacl’s total liability under this Agreement shall not exceed the fees paid by you to Spectacl in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Spectacl and its affiliates, officers, employees, and partners from any claims, damages, losses, and expenses arising out of your use of the Services, your User Inputs, or your violation of this Agreement.

12. Changes to These Terms

Spectacl may modify these Terms at any time. Changes will be effective upon posting on the Website. Your continued use of the Services constitutes acceptance of the revised Terms.

13. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Netherlands, without regard to conflict of law principles. The courts of the Netherlands shall have exclusive jurisdiction over any disputes arising out of or in connection with this Agreement.

14. Miscellaneous

This Agreement constitutes the entire agreement between you and Spectacl regarding the Services. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.

Spectacl’s failure to enforce any right or provision shall not constitute a waiver.

You may not assign this Agreement without Spectacl’s prior written consent. Spectacl may assign this Agreement without restriction.
